Terms of Service
Effective governance begins with clarity. These terms define the boundary conditions for our collaboration—where liability ends, responsibility begins, and how we navigate the unexpected together.
1. Acceptance & Scope
Accessing uxpixo.company constitutes acceptance of these terms in full. By browsing our portfolio, initiating a contact request, or engaging in a project proposal, you agree to operate within this framework. We reserve the right to modify these terms at any time; continued use after changes constitutes acceptance of the new terms.
These terms govern the relationship between uxpixo (the Provider) and any individual or entity (the User) accessing the website or services. They do not override statutory rights but define how we interpret and execute our obligations under Czech commercial law.
Jurisdiction & Law
- These terms are governed by the laws of the Czech Republic.
- Disputes fall under the jurisdiction of courts in Prague.
- EU consumer protection regulations apply where relevant.

Our Terms require that any service delivery accounts for bilingual cognitive load. We explicitly define interface language switching protocols in our deliverables.
2. Service Terms & Deliverables
Scope of Work
Every project begins with a signed proposal that defines specific deliverables, timelines, and acceptance criteria. uxpixo specializes in UX/UI design, design systems, and product strategy. Development implementation is limited to front-end prototyping unless explicitly stated in the contract.
Revisions & Feedback
Our process includes defined revision cycles (typically 2 rounds) for each deliverable. Feedback must be consolidated into a single document to maintain velocity. Scope creep is managed via change orders; additional billable hours are tracked in 15-minute increments.
Acceptance Criteria
Deliverables are considered accepted if no written feedback is provided within 5 business days. Final payment is due upon acceptance. Source files are transferred only after full payment is cleared.

3. Liability & Risk Allocation
We believe in transparent risk management. Below is a matrix defining where liability sits for common project friction points. This isn't legalese—it's operational clarity.
Brand Guidelines & Assets
Providing accurate brand assets (logos, fonts, color codes) is the client's responsibility. uxpixo is not liable for visual inconsistencies arising from incorrect asset provision.
Third-Party Integrations
We design for APIs we don't control. While we follow best practices, we are not liable for downtime or breaking changes in third-party services (Auth, Payment, CMS).
IP Indemnification
We warrant that our deliverables are original and do not infringe on existing IP. If a valid claim arises, we will modify the work or refund fees paid for that specific deliverable.
Consequential Damages
Neither party is liable for indirect damages (lost profits, business interruption). Total liability is capped at the total value of the project agreement.
Visual assets are tools, not ownership claims.
4. Intellectual Property Rights
Ownership of work is a critical conversation. We structure our agreements to ensure you can move forward with your product, while we retain the right to showcase our process.
- Full Transfer Upon Payment: Final designs, source files (Figma/Sketch), and documentation transfer to you upon final payment. You own the output.
- Portfolio Rights: We retain the right to display the work in our portfolio and marketing materials, unless an NDA is signed prohibiting public disclosure.
- Process Retention: uxpixo retains ownership of generic UI patterns, design system methodologies, and code snippets used in the project unless specifically commissioned and paid for as "bespoke IP".
5. Data Privacy & GDPR
As a Czech-based entity, we adhere strictly to GDPR. When you contact us, we collect only essential information: Name, Email, and Message. We do not share this data with third parties or use it for automated profiling.

6. Final Provisions & Contact
If any provision of these Terms is found to be unenforceable, that provision shall be severed, and the remainder of the Terms shall remain in full force and effect.
No waiver of any provision shall be deemed a continuing waiver of that provision or any other provision. These Terms constitute the entire agreement between you and uxpixo regarding the website and supersede any prior agreements.
